These terms and conditions ("Terms & Conditions") govern your use of the Services provided by us.

1.4 We reserve the right, at our sole discretion, to change, modify, add or remove these Terms & Conditions from time to time. We will however communicate to you whenever there are any changes made to these Terms & Conditions. However, we encourage you to review these Terms & Conditions each time you access, browse or use the Website. Any amended Terms & Conditions will be effective immediately after it is uploaded on the Website. Your continued access, browsing or use of the Website following uploading of the amended Terms & Conditions shall mean that you accept and agree to the amended Terms & Conditions. The version of the Terms & Conditions that will apply to you will be the version on the Website at the time you access, browse or use the Website. These Terms & Conditions does not alter in any way the terms or conditions of any other written agreement you may have with SBF for other products or services.

1.5 Please read these Terms & Conditions carefully before using the Website or opening a user account ("Account") so that you are aware of your legal rights and obligations with respect to SBF and the use of the Services. The Website is available for your use only on the condition that you agree to these Terms & Conditions. If you do not agree to these Terms & Conditions, do not access the Website or use the Services. By accessing the Website or using the Services, you and the entity you are authorised to represent signify your agreement to be bound by these Terms & Conditions. You are also responsible for ensuring that all persons who access the Website through your Account comply with these Terms & Conditions.

2. NATURE OF THE SERVICES

2.1 The Financial Management Toolkit (FMT) is a diagnostic and self-assessment tool designed to assist businesses in evaluating key aspects of their financial health, including working capital needs, business viability, and capability gaps. The FMT also includes information resources such as educational articles, best-practice guides, and downloadable templates to support financial planning, cash flow management, and overall financial governance.

2.2 You acknowledge and agree that:

(a) the FMT and all outputs generated through the Website are for general informational and self‑assessment purposes only. They do not constitute, and shall not be relied upon as, professional, legal, financial, investment or other advice;

(b) any assessments, scores, reports or recommendations are indicative only, based on information provided by you, and may be incomplete, inaccurate or out of date;

(c) you remain solely responsible for evaluating the relevance, accuracy and suitability of such outputs and for all decisions, actions or outcomes arising from your use of the FMT, the Website or any Services; and

(d) no duty of care is owed by SBF in respect of the Website, the Services or any Content to you, and you acknowledge and agree that you do not rely on the FMT, the Website, the Services or any Content as a substitute for independent professional advice.

3. LIMITED LICENCE

3.1 We hereby grant you a limited and revocable licence to access and use the Services subject to these Terms & Conditions. All proprietary Content, trademarks, service marks, brand names, logos and other intellectual property ("Intellectual Property") displayed in the Website are the property of SBF and where applicable, third-party proprietors identified in the Website. No right or licence is granted directly or indirectly to any party accessing the Website to use or reproduce any Intellectual Property, and no party accessing the Website shall claim any right, title or interest therein. By using or accessing the Services, you agree to comply with the copyright, trademark, service mark, and all other applicable laws that protect the Services, the Website and its Content. You agree not to copy, distribute, republish, transmit, publicly display, publicly perform, modify, adapt, rent, sell, or create derivative works of any portion of the Services, the Website or its Content. You also may not, without our prior written consent, mirror or frame any part or whole of the Website or Content on any other server or as part of any other website. In addition, you agree that you will not use any robot, spider or any other automatic device or manual process to monitor or copy our Content, without our prior written consent (such consent is deemed given for standard search engine technology employed by Internet search websites to direct Internet users to the Website).

4. ELIGIBILITY TO USE

4.1 We reserve the right to, without prior notice: (i) suspend or terminate your account, (ii) revoke your access to the Website, (iii) remove any Content associated with your Account, (iv) cancel or suspend any transactions associated with your Account, and/or (v) take any other actions that we deem necessary if you are found in contravention of these Terms & Conditions, or if we decide, in our sole discretion, that doing so would be in SBF's best interests.

4.2 The Website is not available to persons whose account has been suspended or terminated by us for any reason whatsoever. Notwithstanding anything contained herein, if you breach these Terms & Conditions, SBF reserves the right to take any legal or other action against you, including but not limited to, denying or revoking access to the Website and referral to the appropriate authorities.

4.3 Please note that you may only access the Website for lawful purposes. You are solely responsible for the knowledge of and adherence to any and all laws, rules and regulations pertaining to your use of the Website.

5. AVAILABILITY OF THE WEBSITE AND THE SERVICES

5.1 SBF does not guarantee that the Website or Services will be compatible with all hardware and software which you may use. SBF shall not be responsible for any issues in connection with equipment or intermediary platforms, browsers or applications that you use to access the Website and the Services.

5.2 As the Website is dependent on other third-party service providers for certain operational aspects (such as website domain hosts and payment services providers), and also due to the nature of the Internet, SBF makes no warranty that your access to the Website or use of the Services will be uninterrupted, timely or error-free, or will be free of viruses, worms and/or other harmful or invasive elements. We shall not be liable to you where access to the Website or the provision of Services is disrupted for any reason.

5.3 We may, from time to time and without giving any reason or prior notice, upgrade, modify, suspend or discontinue the provision of or remove, whether in whole or in part, the Website or any Services and shall not be liable if any such upgrade, modification, suspension or removal prevents you from accessing the Website or any part of the Services.

5.4 The Website undergoes ad-hoc maintenance as SBF deems necessary, the timing and duration of which may be notified to you via the Website and in advance where practicable. SBF does not guarantee that the Services shall be available twenty-four hours a day. SBF shall not be liable to you for any reason the Services are unavailable at any time or for any period.

5.5 Whilst SBF will use commercially reasonable efforts to make the Services available to you without any interruption, it does not guarantee that the Services will be fault-free. If a fault occurs with the Service, you should report it to us and we will attempt to correct the fault as soon as practicable.

6. USER REGISTRATION

6.1 Your Account: Access to and use of password protected and/or secure areas of the Website and/or use of the Services are restricted to Users with a registered account only. You may create and hold one (1) Account only. You will be responsible for maintaining confidentiality of your account, password and controlling access to your account, and you hereby accept responsibility for all activities that occur using your Account. Each Account is non-transferable and may not be sold, traded, combined or otherwise shared with any other person.

6.2 In registering for an Account, you shall provide accurate and complete registration information. We reserve the right at any time to request for additional information or supporting documents to verify the veracity of any information provided or in connection with your use of the Services. You shall ensure that your Account information is accurate and up-to-date. If you refuse to divulge such information and/or data or if you provide or if we have reasonable grounds to suspect that you have provided inaccurate, misleading or fraudulent information and/or data, we reserve the right to suspend or terminate your Account and/or refuse use of part or all of the Services.

6.3 If you are accessing or browsing or using the Website on someone else's behalf, you represent that you have the authority to bind that person to these Terms & Conditions. In the event that the person refuses to be bound as the principal to these Terms & Conditions, you agree to accept liability and indemnify SBF against any harm caused by any wrongful use of the Website resulting from such access or use of the Website in whatsoever nature.

6.4 You may not obtain or attempt to obtain unauthorised access to such parts of this Website and/or Services, or to any other protected information, through any means not intentionally made available by us for your specific use. A breach of this provision may be an offence under the Computer Misuse Act 1993 of Singapore.

6.5 If you know or have reasons to believe that the security of your Account has been breached, you should contact us immediately. If we have found a breach or suspected breach of the security of your Account, we may require you to change your password temporarily or permanently block or suspend your account without any liability to SBF.

6.6 You are solely responsible for all information that you upload, post, email or otherwise transmit via the Website. The information provided to us shall be maintained by us in accordance with our Privacy Policy.

6.7 You are fully responsible for all activities that occur using your Account even if such activities or uses were not committed by you. We will not be liable for any loss or damage arising from unauthorised use of your password or your failure to comply with this section.

7. ADVISOR ENGAGEMENTS AND BOOKINGS

7.1 The Website may facilitate referrals, introductions or appointment bookings with SBF advisors or ecosystem partners.

7.2 You acknowledge and agree that:

(a) such engagements are subject to availability and confirmation;

(b) no contractual, fiduciary or agency relationship is created unless expressly agreed separately; and

(c) SBF does not guarantee any business outcome, funding, programme placement or result arising from such engagements.

7.3 Any engagement with advisors or ecosystem partners is strictly between you and such third party, and SBF shall not be responsible or liable for any act, omission, advice, representation or outcome arising therefrom.

8. ACCURACY OF CONTENT

8.1 We endeavour to provide accurate data and information on the Website.

8.2 You agree that you must evaluate, and bear all risks associated with, the use of any Content, including, without limitation, any reliance on the accuracy, completeness, or usefulness of such Content. In this regard, you acknowledge that you have not and, to the maximum extent permitted by applicable law, may not rely on any Content accessible on the Website.

9. USAGE RESTRICTIONS

9.1 SBF is not responsible for any damages resulting from your use of the Website or Services. You agree that you shall not, directly or indirectly, use the Website, Services or any Content to:

9.2 Any breach of this clause may result in suspension or termination of your Account and access to the Website and Services, without prejudice to any other rights or remedies available to SBF under law or contract.

10. INDEMNITY

10.1 You agree to release, defend, indemnify and hold harmless SBF its employees, directors, officers, agents and their successors and assigns from and against any and all claims, liabilities, damages, losses, costs and expenses, including attorney's fees, caused by or arising out of claims based upon your actions or inactions, which may result in any loss or liability to SBF or any third-party including but not limited to breach of any warranties, representations or undertakings (including any breach of the usage restrictions herein) or in relation to the non-fulfilment of any of your obligations under these Terms & Conditions or arising out of your violation of any applicable laws including infringement of intellectual property rights, payment of statutory dues and taxes, claim of libel, defamation, violation of rights of privacy or publicity, loss of service by other subscribers, claim arising from any Content uploaded or submitted by you, or any reliance by third-parties on information provided by you through the Website.

11. PRIVACY

11.1 SBF believes strongly in protecting the User's privacy and providing you with the information regarding SBF's privacy practices. Please refer to our Privacy Policy that is accessible at [•].

12. COMMUNICATION

12.1 When you visit the Website or send emails to us, you are communicating with us electronically in accordance with the Electronic Transactions Act 2010. Where elected, you consent to receive communications (including transactional, promotional and/or commercial messages) from us periodically and as and when required regarding the Website, our newsletters, SMS updates, anything relating to other companies in our group or our business partners. We will communicate with you by email or by posting notices on the Website. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. When you submit your phone number along with your shipping address or to request our call back, you consent to receive calls on that number for communication related to your order/request and other site related communication. 13. OWNERSHIP OF INTELLECTUAL PROPERTY; COPYRIGHT AND TRADEMARK

All rights, including rights to all Intellectual Property displayed on the Website and the Content therein are owned by or licensed to us and where applicable, third-party proprietors identified in the Website. All software used on the Website is the property of SBF or its licensors and may be used only as a information resource. All Content and software are protected by Singapore and international intellectual property laws. The compilation (meaning the collection, arrangement and assembly) of Content on this Website is the exclusive property of SBF and is also protected by Singapore and international intellectual property laws.

13.4 References on this Website to any names, marks, products or services of third-parties or hypertext links to third-party websites or information are provided solely as a convenience to you and do not in any way constitute or imply: (i) any affiliation with us; or (ii) our endorsement, sponsorship or recommendation of the third-party, information, product or service. 13.5 By using the Website and/or the Services, you grant SBF a non‑exclusive, royalty‑free, worldwide and revocable licence to use, reproduce, display and publish your company name, trade name, trademarks and logos (collectively, "Company Marks") solely for the purposes of identifying you as a User and displaying such Company Marks on the Website, provided always that such use shall be in accordance with your branding guidelines (if provided to SBF in writing) and shall not imply any endorsement, partnership, sponsorship or affiliation beyond your participation in the Services. You may withdraw your consent to such use at any time by providing written notice to SBF, upon which SBF shall, within a reasonable period, cease further use of the relevant Company Marks on the Website.

14. TERMINATION

14.1 You may terminate your Account at any time by notifying us in writing (including via email at cefa@sbf.org.sg) of your desire to do so. We may terminate your Account at any time and may do so immediately without notice and accordingly deny you access to the Website and/or Services. Such termination will be without any liability to SBF. Any such termination of your Account shall not affect any liability that may have arisen prior to termination.

14.2 Following the termination, you will not be permitted to use the Website or the Services. If your access to the Website or Services is terminated, SBF reserves the right to exercise whatever means it deems necessary to prevent the unauthorised access of the Website or use of the Services.

Any assessments, scores, reports or recommendations are indicative only, based on information provided by you, and may be incomplete, inaccurate or out of date. 15.4 Your sole and exclusive remedy in respect of any dissatisfaction with the Website or Services is to discontinue use of the Website and to terminate your Account.

15.5 Nothing in these Terms & Conditions shall exclude or limit any liability which cannot be excluded or limited under applicable law.

16. WEBSITE SECURITY

16.1 You are prohibited from violating or attempting to violate the security of the Website, or use any device, software or routine to interfere or attempt to interfere with the proper working of this Website or any activity being conducted on this Website including, without limitation:

16.2 Violations of system or network security may result in civil or criminal liability. We will investigate occurrences that may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations.

16.3 We have in place appropriate technical and security measures to prevent unauthorised or unlawful access to or accidental loss of or destruction or damage to your information. When we collect data through the Website, we collect your personal details on a secured server through firewalls. SBF does not access, store or keep debit card data or credit card data and or any financial information. All transactions done using Secure Server Software (SSL) for 128-bit encryption through third-party gateways and SBF plays no role in the transaction, except for directing the customers to gateways or relevant webpage(s). Accordingly, SBF shall not be responsible or liable for any loss or damage due to any disclosure whatsoever of personal information while using the third-party gateways and or Website. Further, SBF shall not be liable for any loss or damage sustained by reason of any disclosure (inadvertent or otherwise) of any personal information concerning the User's account and/or information relating to or regarding online transactions using credit cards/debit cards/cash cards/net banking and/or their verification process and particulars nor for any error, omission or inaccuracy with respect to any information so disclosed and used. We maintain physical, electronic and procedural safeguards in connection with the collection, storage and disclosure of your information. To protect your privacy and security, we will verify your identity before granting access or making changes to your personal information.

16.4 Whilst SBF makes every effort to protect the security of communications made through the Website, you shall be solely responsible for managing and maintaining the security of all aspects required to access or use the Website and your Account, including:

(a) your login credentials, including your password to your Account;

(b) your email for receiving information and notifications;

(c) your phone and authenticator for two-factor authentication;

(d) recovery passphrases;

(e) hardware or software used to access the Website;

(f) information or documents relating to your Account; and

(g) any other required forms of authentication.

16.5 You shall notify SBF in writing within 24 hours from the time you become aware of any unauthorised use of your Account, or other suspected Account-related security breach.

16.6 If SBF has reason to believe that that there is a breach of security, or the person logged into the Account is not the registered User or an authorised person of the registered User, or where the Account will be used for illegal, fraudulent or unauthorised purposes, or where there is any suspicious activity, SBF reserves the right to require you to change your login credentials, or suspend, restrict or terminate access to your Account and/or use of the Website, or cease acting on your instructions.

20.1 SBF may at any time, in its sole discretion and without advance notice to you, cease operation of the Website.

22.2 The parties submit to the non-exclusive jurisdiction of the courts of Singapore to settle any disputes which may arise out of or in connection with these Terms & Conditions.
